VizEngin Subscription Terms of Service

These Terms of Service ("Terms") govern the subscription-based content creation services provided by VizEngin ("VizEngin," "we," "us," or "our") to subscribing customers ("Client," "you," or "your"). By purchasing, subscribing to, or using VizEngin services, you agree to be bound by these Terms.
VizEngin provides a productized, subscription-based content creation service. VizEngin is not a software platform and does not provide hosting, publishing, analytics, or performance guarantees.
1. Services
VizEngin provides ongoing, standardized content creation services (the "Services") based on the subscription plan selected by Client. Services may include, depending on plan level:

Written content such as articles, blog posts, and long-form content

Social media content such as captions, posts, and short-form copy
-
Video-related content such as scripts, outlines, prompts, or edited video assets
Services do not include full-service social media management, broad content distribution, advertising management, SEO guarantees, legal review, compliance review, or performance optimization unless explicitly stated in writing.
VizEngin may, as a limited convenience to Client, provide access to a third-party content approval and distribution tool that allows Client to review and approve certain content for posting to Client’s own social media accounts. Any such distribution functionality is limited solely to Client-approved posting through the third-party service and does not constitute ongoing platform access, account management, analytics, monitoring, or optimization.
VizEngin does not control, own, or operate any third-party approval or distribution platforms and is not responsible for their availability, functionality, security, outages, errors, or changes.
VizEngin provides Services on a best-effort basis. No specific results, outcomes, engagement metrics, rankings, or business performance are promised or implied.
2. Subscription Structure and Billing
2.1 Subscription Fees
Client agrees to pay all subscription fees associated with the selected plan. All fees are non-refundable. Subscription fees are billed in advance on a recurring basis according to the selected billing cycle.
VizEngin may suspend or terminate Services for non-payment. Deliverables will not be released while any balance remains unpaid.
2.2 Automatic Renewal and Authorization
By subscribing, Client authorizes VizEngin to automatically charge the payment method on file for recurring subscription fees. Client represents that all billing information is accurate and that Client is authorized to use the designated payment method.
Client is responsible for maintaining current billing information.
2.3 Pricing Changes
VizEngin may modify subscription pricing upon written notice. Promotional pricing or temporary discounts may be offered or withdrawn at VizEngin’s discretion.
3. Subscription Pauses and Cancellations
3.1 Pausing
VizEngin may offer the ability to pause subscriptions under certain plans. During a pause:

New content requests are not accepted

Revisions are not processed

Billing may be reduced or suspended according to the pause terms
Paused time does not constitute an active subscription period.
3.2 Cancellation
Client may cancel a subscription at any time. Cancellation becomes effective at the end of the current paid billing period. There are no refunds for partial or unused subscription periods.
Upon cancellation:

Access to ongoing Services ends at the close of the billing period

VizEngin may delete stored files after account closure

Client is responsible for downloading all deliverables prior to cancellation
4. Content Requests, Volume, and Revisions
Subscription plans may include limits on the number of active requests, turnaround prioritization, or monthly volume thresholds. These limits are guidelines, not guarantees.
Revisions apply only to submitted content requests within the active subscription period. Revisions do not include new concepts, strategic shifts, or changes to previously approved content.
VizEngin does not guarantee turnaround times or minimum output quantities.
5. Use of AI and Tools
VizEngin may use a combination of human creators, AI-assisted tools, templates, and internal workflows to produce content.
VizEngin does not guarantee originality beyond reasonable industry standards. Client is solely responsible for reviewing, approving, and validating content prior to publication or use.
6. Client Responsibilities
Client is solely responsible for:

Reviewing and approving all content prior to publication or distribution

Accuracy, legality, and compliance of published content

Substantiating claims and representations
-
Compliance with advertising, privacy, accessibility, and intellectual property laws

Maintaining secure access credentials for any third-party approval or distribution tools

Securing required legal or regulatory approvals
Client acknowledges that approval of content through a third-party platform constitutes final authorization for distribution and publication.
VizEngin does not provide legal, compliance, regulatory, or platform support services.
7. Ownership and Intellectual Property
7.1 Client Ownership
Client owns all final content deliverables approved and fully paid for during an active subscription period.
7.2 VizEngin Retained Rights
VizEngin retains all rights to:

Templates, prompts, scripts, frameworks, and methodologies

Internal tools and workflows
-
Drafts or unused concepts not delivered as final content

Pre-existing materials and know-how
No rights are transferred beyond the final approved deliverables.
7.3 Client-Provided Materials
Client represents that all materials provided to VizEngin are legally owned or licensed. VizEngin is not responsible for infringement arising from Client-provided materials.
8. Acceptable Use
VizEngin reserves the right to refuse, suspend, or terminate Services for requests involving illegal, deceptive, misleading, defamatory, pornographic, or unethical content, or content requiring regulated professional advice.
VizEngin is not responsible for enforcement of platform-specific rules, policies, or terms imposed by third-party social media networks or approval tools. Client is solely responsible for compliance with all third-party platform terms.
9. No Warranties
Services are provided "as is" and "as available." VizEngin disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of Liability
To the maximum extent permitted by law, VizEngin’s total aggregate liability arising out of or related to the Services, these Terms, or any subscription, whether in contract, tort, negligence, strict liability, or otherwise, shall not exceed the total subscription fees actually paid by Client to VizEngin for the Services during the one (1) month period immediately preceding the event giving rise to the claim.
VizEngin shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to lost profits, lost revenue, loss of business, loss of goodwill, reputational harm, or claims by third parties, even if VizEngin has been advised of the possibility of such damages.
Client acknowledges that VizEngin’s pricing reflects this allocation of risk and that VizEngin would not provide the Services without these limitations.
11. Agency Relationship Disclaimer
VizEngin is not acting as Client’s agent, legal representative, publisher, or spokesperson. VizEngin does not provide legal advice and does not act on behalf of Client in any legal, regulatory, or professional capacity.
Any content approved for distribution through a third-party platform is posted solely under Client’s authority, credentials, and social media accounts. Client retains full responsibility for compliance with all applicable laws, professional rules of conduct, advertising regulations, and platform policies, including those specific to legal services marketing.
VizEngin does not review content for legal sufficiency, ethical compliance, or jurisdiction-specific attorney advertising requirements.
12. Termination and Non-Renewal
12.1 Termination for Cause
VizEngin may terminate Services immediately for abuse, misuse, non-payment, material breach of these Terms, or conduct that VizEngin reasonably determines is harmful to its business, reputation, personnel, or other clients.
12.2 Non-Renewal Without Cause
VizEngin reserves the right, in its sole discretion, to decline renewal of any subscription at the end of the current billing period, with or without cause, by providing written notice to Client prior to the renewal date.
Non-renewal shall not constitute termination for breach and shall not require VizEngin to provide justification. Client remains responsible for all fees incurred through the end of the active subscription period.
12.3 Effect of Termination or Non-Renewal
Upon termination or non-renewal:

Client retains rights only to fully paid-for, approved deliverables

Unfinished, queued, or unpaid work is forfeited

VizEngin has no obligation to continue Services beyond the active billing period
13. Force Majeure
VizEngin is not liable for delays or failure to perform due to events beyond reasonable control, including natural disasters, outages, cyber incidents, or governmental actions.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict-of-law principles.
14. Modifications
VizEngin may update these Terms from time to time. Continued use of the Services after updates constitutes acceptance of the revised Terms.
15. Portfolio Use
Client grants VizEngin a non-exclusive license to display completed work in portfolios, case studies, or marketing materials unless Client opts out in writing.
16. Confidentiality
VizEngin will maintain the confidentiality of Client information and will not disclose it except as required by law or as necessary to perform the Services.
17. Entire Agreement
These Terms constitute the entire agreement between Client and VizEngin regarding the Services and supersede all prior agreements or understandings.
